Terms of Service

Effective: 2026-04-23 · Last updated: October 22, 2026 · Lucid Entities LLC · California governing law

These Terms of Service ("Terms") are an agreement between you ("you," "your") and Lucid Entities LLC, a California limited liability company ("Lucid Entities LLC," "we," "us," "our"), governing your use of Lucid Terminal — the desktop application, lucidterminal.io website, and related cloud services (collectively, the "Service"). By installing, accessing, or using the Service, you agree to these Terms.

1. Eligibility

You must be:

  • At least 18 years of age
  • A legal resident of the United States (we're not currently available outside the US)
  • Legally permitted to trade futures contracts on regulated exchanges in your jurisdiction
  • Not barred by the SEC, CFTC, NFA, FINRA, or any prop firm you're connecting from using automated trading tools

If you do not meet all of these, you may not use the Service.

2. The Service

Lucid Terminal is a trading terminal (desktop, web, and mobile) that you assemble from widgets: it reads your trade data from connected brokerage and prop firm accounts, displays quotes, charts, analytics, and market data, journals trades to your Obsidian vault or a Git repository you choose, and (on allowed firms) runs automated trading strategies (“Algorithmic Bots”). Algorithmic Bots and the Copy Trader are included on paid plans (Pro and up), not on the Free plan. On paid plans, Algorithmic Bots run on Lucid’s servers around the clock; Lucid hosts the execution, you own the strategy and the broker account it trades. Lucid Terminal is a tool, not a financial advisor, broker, investment company, or signal service.

Plan limits. Each plan includes a set number of Algorithmic Bots running at once and of formations (groups of bots run together): Free 0 bots, 0 formations and no Copy Trader; Pro 10 bots and 2 formations; Elite 25 and 5; Lab 50 and 10; Lifetime 100 or more and 30. Paid plans include the World tab and market-intelligence widgets in increasing depth. The current table is published at lucidterminal.io/pricing and is enforced by our servers. Broker and prop firm logins are unlimited on every plan, including Free. Where a widget depends on data we have not yet licensed for display to all users, it is shown as “coming soon” and unlocks when the licence is in place; we do not promise a date.

Free-bot launch offer. For a limited time, once Algorithmic Bots are released, the Free plan also includes 3 Algorithmic Bots running at once and 1 formation; the Copy Trader is not part of the offer. We may end the launch offer at any time with notice by email and in the app. When it ends, Free-plan bots are paused, not deleted, and you can resume them on a paid plan.

Stock and options broker links. Futures broker and prop-firm logins stay unlimited on every plan. Linking a stock or options brokerage (through our data provider) is included on Pro and up; a link made on the Free plan before this rule keeps working until it is removed. To keep costs down, we remove a stock or options brokerage link after 30 days without a sign-in, with notice by email and in the app 7 days before; you can link it again at any time.

Coming soon. Features marked “Coming soon” on the pricing page or in the app (including, until they are released, Algorithmic Bots and formations) are not part of the current subscription until released.

Nightly bot review. On plans that include it, Lucid computes statistics about the bots you run (win rate, profit factor, drawdown, and similar), compares them with each bot’s own backtest and the account limits you set, and shows them to you each night. The review is automated and follows fixed rules shown in the app; it does not use artificial intelligence. Each bot gets a status and a suggested next step chosen by those rules. These are statistics, not recommendations or investment advice. Lucid never changes, pauses or resizes a bot on its own: any change takes effect only when you make it.

Order actions. Lucid Terminal sends orders to a connected account only (i) when you initiate them — for example closing a position, cancelling an open order, or using Flatten All or the kill switch — or (ii) through bot, copy-trader, or other automation features you have explicitly opted into under Section 6. Available actions vary by firm and brokerage; stock and options accounts are limited as described in Section 5(e).

3. Not financial advice

Nothing in the Service constitutes financial, investment, legal, or tax advice. Lucid Terminal does not recommend any specific security, strategy, or action. All analytics, indicator overlays, bot rankings, backtest results, and strategy outputs are informational tools to support your own independent decision-making.

Trading futures involves substantial risk of loss. You can lose more than your initial deposit. Leverage amplifies losses. Past performance does not guarantee future results. Trading stocks and options also involves substantial risk of loss; options can expire worthless. You are solely responsible for your trading decisions and outcomes.

4. Your account

You must register with a valid email address and a password of at least 12 characters. You are responsible for all activity on your account, including keeping your credentials secure. If you suspect unauthorized access, email support@lucidterminal.io immediately and reset your password.

You may have only one active account per person. Accounts are non-transferable.

4.1 Account security: PIN reset and identity verification

The PIN is a lock on one device, on top of your account sign-in. If you forget it, choose Forgot PIN → Reset PIN on the PIN screen: we email a six-digit one-time code (valid 15 minutes) to your account email, and you enter it together with your account password. We send you a notice email every time a PIN is reset. No government ID is needed in the normal case. If you have lost access to your email, you can instead reset your PIN through support by verifying your identity with our verification provider (Stripe Identity), which asks you to scan a government ID and a live selfie on its own hosted page. Lucid never receives or stores your ID images or selfie; the provider returns only a pass/fail result and a session reference, which we keep to record that the reset was verified. Support tickets you open in the app are handled by Lucid staff and may be relayed to a private, staff-only channel on our Discord server so the team can respond; that channel is never visible to other users.

Notifications. Depending on what you turn on, we notify you by email, in-app messages, desktop notifications and browser push. Security notices (new sign-in, PIN reset, subscription changes) are sent by email and cannot be turned off while the account is open.

5. Broker + prop firm connections

(a) Your use of brokerage and prop firm accounts (TopstepX, Tradovate, Take Profit Trader, MyFundedFutures, Apex Trader Funding, Bulenox, Tradeify, any stock or options brokerage, or any other firm) is governed solely by your separate agreement with that broker or firm. Lucid Terminal is not a party to that agreement. We do not guarantee compatibility, uptime, or compliance of any broker's API.

(a.1) No affiliation with listed firms. Lucid Terminal is a product of Lucid Entities LLC and operates as an independent third-party trading terminal. We are not affiliated with, owned by, or operating in partnership with any of the brokers, prop firms, or platforms listed in this section or that a user may connect. The brand-distinction notice on our Disclosures page is incorporated into these Terms by reference. All firm names and logos are the property of their respective owners and are referenced solely to describe accounts the user may connect.

(b) Broker credentials. Futures accounts on Tradovate-based firms connect through Tradovate’s OAuth sign-in under our NinjaTrader vendor program: you sign in on Tradovate’s own page, and we hold the resulting access tokens, encrypted, on our servers — never your Tradovate password. Stock and options brokerages connect through SnapTrade’s hosted portal: you sign in with your brokerage there, and we never receive your brokerage password. Broker logins and API keys you enter in the desktop app are encrypted at rest on your device using the operating system’s secure credential store (Windows or macOS) and are never transmitted to our servers. If you connect a firm with an API key in the web terminal, that key is stored encrypted on our servers. You are responsible for keeping your devices and credentials secure.

(c) Firm rule compliance. You will comply with your broker's and prop firm's rules at all times, including position-size limits, daily-loss limits, news-trading windows, consistency rules, and automation policies.

(d) Past backtest performance is hypothetical and not indicative of future live-trading results. Backtests cannot simulate slippage, liquidity, order queue position, or broker-side execution nuances perfectly.

(e) Stock and options accounts. For stock and options brokerages connected through SnapTrade, the Service can view your balances, positions, orders, and order history, and can close existing positions and cancel open orders at your request, where the brokerage and the Service support it. The Service never places opening orders (orders that open or add to a position) on stock or options accounts. Some brokerages, including Fidelity and Vanguard, are view-only: the Service can display those accounts but cannot close positions or cancel orders in them — use your brokerage’s own app for any trading action.

6. Automated trading + prop firm policies

(a) Bot features are opt-in. Before running any bot or automated strategy, you must accept the Bot Features Consent in the Service (version-stamped, logged). You can revoke this consent at any time.

(b) Prop-firm automation-rules acknowledgment. Certain prop firms — including but not limited to Apex Trader Funding, Take Profit Trader, and MyFundedFutures — explicitly prohibit automated, algorithmic, or bot-driven trading on their evaluation and funded accounts in their own account rules between you and the firm. Lucid Terminal does not enforce those rules — the Service will let you run bots on any connected account if you enable them. The first time you connect an account from one of these firms the Service shows you an in-app acknowledgment modal summarizing the firm's rules and the consequences of violating them, and records your acceptance. You agree that:

  • Lucid Terminal provides bot, copy-trader, and strategy-automation features as user-choice tools; the Service does not police or enforce your compliance with any prop firm's rules
  • If you enable bot or automation features on an account from a firm that prohibits automation, you are solely responsible for the violation of your separate agreement with that firm
  • You will not rely on Lucid Entities LLC to prevent your account from being flagged, banned, terminated, suspended, or having its profits clawed back for any reason, including but not limited to automated trading. You and you alone are responsible for the trading method you choose and its compliance with each firm's current rules.
  • The in-app acknowledgment modal you accept at connect-time records your affirmation of this paragraph and stands as your binding consent.

(c) Liability disclaimer for prop-firm enforcement actions. To the maximum extent permitted by law, Lucid Entities LLC is not responsible for:

  • Prop-firm account terminations, suspensions, or bans (whether from restricted firms or any other firm)
  • Forfeiture of profits, funded-account payouts, evaluation fees, or deposits
  • Clawback or reversal of previously-paid withdrawals
  • Failed, blown, or drawn-down evaluation or funded accounts caused by trades (manual or automated) placed through the Service or parallel to it
  • Disputes between you and any prop firm regarding alleged automation violations, "copy trading" allegations, or other rule enforcement
  • Any financial loss, opportunity cost, or reputational harm resulting from the firm's enforcement actions

You have sole responsibility for ensuring your use of the Service is compliant with each prop firm's current rules, which the firms may change at any time without notice. Your acceptance of this Section 6 is a condition of using the bot / automation features of the Service.

6.1 Copy Trader

(a) What it is. The Copy Trader lets you copy trades from one of your connected accounts (the leader) to other connected accounts you trade (followers), in groups you create. It is software that follows the settings you choose: which accounts are in a group, the size of each follower (match, ratio or fixed quantity), any symbol mapping, any daily loss limit, daily profit target or copy time window, and whether each follower and group is on or paused.

(b) You are solely responsible for every copied trade. Every order the Copy Trader places is placed on your instruction, under your settings, on your own accounts. You are solely responsible for all trades it places, for the settings you choose, and for watching your accounts while copying is on.

(c) Copied trades can differ or fail. A follower can end up different from the leader, or a copied order can fail, because of partial fills, rejections, slippage, price limits, latency, broker or exchange outages, internet or power outages, a lost connection, or changes made directly at the broker. The Copy Trader tries to bring a follower back in line with the leader or to close it, and pauses copying when it cannot see an account clearly, but we do not guarantee that any order is copied, copied in time, copied at the same price, or copied at all. Before you copy with real money, test with a small trade on a demo or simulated account.

(d) Prop firm and broker rules are yours to follow. Prop firms and brokers each set their own rules about copy trading, trading the same strategy on several accounts, account ownership and automation, and they can change them at any time. You must check and follow the current rules of every firm and broker whose accounts you connect. The Copy Trader does not enforce those rules, and Section 6(c) applies to any enforcement action a firm or broker takes.

(e) Not advice; no liability for losses. The Copy Trader is a tool, not investment advice, and copying another account's trades says nothing about whether those trades are suitable for you. To the maximum extent permitted by law, Lucid Entities LLC is not liable for any losses or expenses incurred through use of the Copy Trader, and Sections 11.1 and 12 apply in full. Lucid Entities LLC's total liability for all claims relating to the Copy Trader is limited to the subscription fee you paid for one (1) month of the Service (this replaces Section 11.2 for Copy Trader claims).

(f) Acknowledgment. Before the Copy Trader places its first copied entry for you, the Service asks you to read a short acknowledgment of this Section 6.1 and type I ACCEPT. Your acceptance is recorded with its version, date, IP address and the text shown. When this Section changes, you will be asked to accept the new version before new copied entries are placed. Closing or reducing a copied position is never blocked.

6.2 Kill Switch

(a) What it closes. The Kill Switch acts only on the canvas you press it in. In the Futures canvas it sends market orders to close your open futures positions. In the Options canvas it closes only option positions whose expiration date is within seven (7) calendar days of the day you press it, counted in exchange time (America/New_York), such as same-day (0DTE) and weekly options. In the Terminal canvas it closes futures positions and options inside that same seven-day window. In every canvas it also stops the bots that belong to that canvas.

(b) What it never closes. The Kill Switch never closes, sells or buys back stock positions, long or short, in any canvas; in the Stocks canvas it only stops stock bots. It never closes options that expire more than seven days later (such as monthly options and LEAPS) or options whose expiration date cannot be confirmed. You close those positions yourself, at your broker. Closing options through the Kill Switch can be switched off while it is being verified; when it is off, the Kill Switch says so before you confirm and closes no options.

(c) Your orders; no liability for closes you start. You are responsible for every order sent from your accounts, including orders sent when you use the Kill Switch. The Kill Switch sends market close orders; fills, prices and timing are set by your broker and the exchange. An order can fill at a worse price than shown, fill only in part, or be rejected, and a position can stay open. To the maximum extent permitted by law, Lucid Entities LLC is not liable for any loss arising from closes you start with the Kill Switch or from positions it does not close, and Sections 11.1 and 12 apply in full.

7. Data pool + free tier

Free-tier users contribute anonymized, aggregated trade metadata to the Lucid data pool as a condition of receiving the free Service. This is disclosed transparently in the Privacy Policy. The contribution covers: trade fills, symbols, sizes, P&L, session attribution, and indicator readings. It does not cover: broker passwords, Obsidian vault contents, or personal identity beyond your Lucid user_id (which is anonymized to an HMAC-SHA256 hash after 90 days per CCPA §1798.140(m)).

Paid-tier users (Pro, Elite, Lab, Lifetime) can opt out of the data pool at any time in Settings → Privacy & Data. The opt-out stops future contribution. Trades contributed before opt-out remain in the aggregated corpus as valid consideration at the time given. This structure is permitted under CCPA §1798.125(a)(2) as a financial incentive for free service, not discrimination.

Contributor benefits: the clocking tool. Contributors to the data pool receive the clocking tool, which shows aggregate statistics from the pool (for example, which sessions and setups have performed better or worse across contributing accounts) and, on the Free plan, recommended position caps derived from those statistics. The full clocking tool is included on paid plans. Clocking-tool output is aggregate statistics, not advice; you decide what to trade and how much. Free-plan Algorithmic Bots run on your computer, and their fills still reach the data pool through your connected Tradovate account like any other trade.

7.1 Connected account data + how Lucid uses it

When you link a brokerage or trading account to the Service (including futures accounts and stock/options brokerages connected through our data providers), the Service reads and stores account metadata, balances, positions, orders, entries and exits from those accounts on an ongoing basis, subject to the same data-pool rules above (free tier contributes always; paid tiers may opt out in Settings). This connected-account data is used to (a) operate the features you see — portfolio views, analytics, trade logs, alerts — and (b) in anonymized, aggregated form, to power Lucid’s own market research, analytics products, strategy development, and proprietary automated trading. In plain terms: aggregate flows across Lucid accounts help train and inform the strategies Lucid builds and operates for itself and its users. Individual account data is never sold to third parties, never published in identifiable form, and never used to trade against any specific user. Stock and options brokerage connections are held by our brokerage-connection provider, SnapTrade, and futures connections use the Tradovate OAuth tokens you grant (see Section 5(b)); Lucid never receives or stores your brokerage passwords.

8. Pricing + billing

Current pricing is listed at lucidterminal.io/pricing. Paid tiers are billed monthly or annually via Stripe. You may cancel at any time; cancellation takes effect at the end of your current billing period.

Grandfathering. If we raise prices in a future pricing stage, existing subscribers keep their current rate via Stripe Price ID lock-in. Lifetime buyers receive every Lab-tier feature for the life of the Service.

Lifetime data allowance. Lifetime includes every company-licensed data source we add. Data licensed per user is included up to $30 per month of per-user fees; beyond that it is an optional add-on. Lifetime is not a guarantee that every future data source will be included at no charge: sources that a vendor prices per seat above that allowance are offered as add-ons, and sources we cannot license for display to our users are not offered at all.

Discount codes. Discounts never stack: one code per subscription. The founders code FOUNDED40 takes 40% off every month (on Lifetime, off the one-time price). Your 40% founder discount stays for as long as you keep paying — including when you upgrade to a higher plan, where it then takes 40% off that plan’s regular price. Downgrading to a lower plan, cancelling or a lapsed payment ends it; before you confirm a downgrade we show you the regular price you will pay. A switch between monthly and yearly billing keeps it when you stay on the same or a higher plan. If you subscribe again later you receive whichever promotion is then running, or the regular price. FOUNDED40 is capped: it is offered to the first 50 paying founder members, and no new redemptions are accepted once those places are filled or its window closes. After that, new members receive FOUNDED30, which takes 30% off for as long as you stay subscribed. Affiliate codes can be redeemed only after the founder places are filled. An affiliate code takes 30% off the regular price for as long as you stay subscribed (on Lifetime, 30% off the one-time price), never more, and replaces any other code, so you choose one. The affiliate whose code you use earns a commission of 10% of your plan’s regular price; that does not change your price.

8.1 Affiliate program

Affiliates who refer a paying subscriber earn 10% of the regular list price of the subscriber’s plan (excluding taxes) on each payment the subscriber makes, for as long as that subscription stays active; on a Lifetime purchase, 10% of the Lifetime list price, once. Payment-processing fees are borne by Lucid and are not deducted from the commission; refunds and charge-backs reduce it proportionally. Subscribers referred before October 16, 2026 remain under the commission terms in effect when they were referred (10% of net subscription revenue for 12 months from the first payment). One code is attached to one subscription; a code is never combined with another discount. Payouts are made automatically once a month through Stripe Connect to the affiliate’s connected account, which must be opened under the same email as the affiliate’s Lucid account, and are subject to Stripe’s own onboarding, identity, and tax requirements; commissions are held until onboarding is complete, and balances under $10 roll into the next payout. Affiliates may not represent themselves as Lucid Entities LLC, make performance or income claims about the Service or any bot, or bid on Lucid trademarks in paid search. Lucid may withhold or reverse commissions on refunded, charged-back, or fraudulent subscriptions and may end the program with 30 days’ notice, honoring commissions already earned.

Refunds — Lucid Terminal plans. Payments for Lucid Terminal’s own plans (subscriptions and Lifetime) are final 30 days after payment. Before 30 days, email support@lucidterminal.io for a no-questions-asked refund. Lifetime refunds after 30 days are considered case-by-case.

Refunds — software from independent developers. The 30-day rule above does not apply to trading software published on Lucid Terminal by independent third-party developers. Bot purchases and bot subscription charges can be refunded within 72 hours; after that they are final. Each bot subscription charge is a separate charge with its own 72-hour window. If you are in the European Union, the EEA, Switzerland or the United Kingdom, you are asked at checkout to request immediate access and to acknowledge that you lose your 14-day right of withdrawal once access starts; you cannot complete the purchase without that acknowledgment. Nothing in this section limits rights you have under your card issuer’s rules.

9. Prohibited uses

You will not:

  • Reverse-engineer, decompile, or attempt to extract source code from the Service (outside of public open-source components)
  • Circumvent or attempt to circumvent any technical restriction, rate limit, or access control
  • Use the Service to engage in market manipulation, wash trading, spoofing, layering, or any illegal trading activity
  • Share your account credentials with any other person
  • Use the Service to generate automated signals for resale without our prior written authorization
  • Introduce malware, scrapers, bots, or any automated systems into the Service beyond the automated trading features we provide
  • Violate any applicable US federal, state, or local law, including the Commodity Exchange Act, CFTC regulations, NFA rules, or SEC rules

10. Intellectual property

Lucid Terminal, lucidterminal.io, and all related code, UI, branding, and documentation are the property of Lucid Entities LLC and are protected by US and international copyright law. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal trading activities in accordance with these Terms. You do not own any part of the Service itself.

Your trade data is yours. Your journal notes, custom bot definitions (Lab tier), and any content you create remain your property. Contribution to the data pool is a license for us to use anonymized, aggregated forms of that data to operate the Service — not a transfer of ownership.

10.1 User-uploaded indicator code

The Service includes a feature that lets you upload custom technical-indicator code (Pine Script, Python, JavaScript, or other formats) to be stored on Lucid’s infrastructure and (after owner review and sandbox testing) executed on your trade data and optionally contributed to the anonymized data pool.

You warrant at upload time that:

  • The code you upload is either (a) your own original work, or (b) code you possess a valid license to use, modify, and upload to a third-party hosting platform like Lucid Terminal.
  • You have NOT removed any copyright, license, or attribution notice that the original author included.
  • You will not upload code that contains malware, vulnerabilities deliberately introduced, or any payload designed to harm the Service, other users, or third parties.
  • You acknowledge Lucid will sandbox-test all uploads before approving them for execution. Approval does not constitute an endorsement or warranty of fitness for any trading purpose.

You retain ownership of your uploaded code. By uploading, you grant Lucid a worldwide, royalty-free, non-exclusive license to host, sandbox-execute, display the code's metadata (name, language, description) to other users if you choose the “public” visibility setting, and aggregate the code's numeric outputs into the anonymized data pool. You can delete your uploads at any time, which revokes this license going forward (anonymized aggregate readings produced before deletion remain valid consideration in the data pool, same structure as Section 7).

Indemnification for IP claims. If a third party brings a copyright, patent, trade secret, or other intellectual-property claim against Lucid arising from code YOU uploaded, you agree to indemnify, defend, and hold Lucid harmless from any resulting damages, settlements, or attorneys' fees. This is in addition to the general indemnification in Section 12.

10.2 DMCA takedown policy

Lucid Terminal complies with the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe that user-uploaded content on Lucid Terminal infringes your copyright, send a written notice to our designated agent containing all six elements required by §512(c)(3):

  1. Your physical or electronic signature (or that of an authorized agent)
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the material that is claimed to be infringing, with enough detail for us to locate it (URL, indicator name, uploader email if known)
  4. Your contact information (address, telephone, email)
  5. A statement that you have a good-faith belief the use is not authorized
  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

Designated DMCA agent:
Lucid Entities LLC — DMCA Agent
Email: dmca@lucidterminal.io
Postal address available on request from support@lucidterminal.io

Upon receipt of a valid notice, we will (a) take down the disputed indicator within 48 hours, (b) notify the uploader, and (c) preserve the notice + the takedown record per §512 safe-harbor requirements. The uploader may file a counter-notice per §512(g); if a valid counter is received, the original complainant has 10–14 business days to file suit before we may restore the indicator.

Repeat-infringer policy. Lucid maintains a 3-strikes policy. Three valid DMCA notices against the same uploader (across one or more uploads) result in permanent termination of the uploader's account, forfeiture of any current subscription period (no refund), and a ban on creating new accounts.

11. Disclaimers + limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." Lucid Entities LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.

11.1 No liability for trading losses, account blowups, or equity destruction

You acknowledge and agree that Lucid Entities LLC, its members, officers, contractors, and affiliates are NOT financially or legally responsible for any of the following, regardless of cause, including but not limited to losses caused by:

  • Trading losses on any connected account — whether realized or unrealized, partial or total, on a personal brokerage account, evaluation account, funded account, or any other account type
  • Manual trades you place through the Service or in parallel to it
  • Automated trades placed by any bot running locally on your machine, on Lucid’s cloud-execution infrastructure, on a third-party or shared bot, or on a copy-trading subscription
  • Account blowups caused by a malfunctioning, mis-configured, over-leveraged, or otherwise unsuccessful bot — whether the bot is one of yours, one shared by another user, or one provided by Lucid
  • Loss of equity, account value, or unrealized gains from any cause, including but not limited to: market gaps, slippage, latency, broker outages, internet outages, power loss, software bugs, missing kill-switch activations, or any user error
  • Failed prop-firm evaluations caused by trades placed through the Service, or by drawdown caused by any bot
  • Forfeited prop-firm payouts, deposits, or evaluation fees regardless of cause
  • Missed opportunities — trades not taken, signals not seen, or fills missed due to the Service being unavailable, slow, or producing incorrect output
  • Reliance on third-party bots — whether free or paid, shared by another user or copy-traded externally, regardless of whether the bot was reviewed, rated, or featured by Lucid
  • Any decision you make based on data, indicators, signals, automated analysis, or any other analysis presented in the Service

The user accepts full and sole responsibility for every dollar of profit and loss on every account connected to the Service. You are an adult who has chosen to trade leveraged futures, options, or other derivative instruments with the knowledge that you may lose all of your principal and additional funds beyond your initial deposit. The Service is a tool. You are the trader. The financial outcome is yours.

The bots, indicators, automated tools, strategies, and any analytical output generated by the Service are provided for informational and operational convenience only. They are not financial advice. They are not a substitute for your own due diligence. They carry no warranty of profitability, accuracy, or fitness for any trading purpose. You alone are the decision-maker. You alone bear the consequences of any trade placed under your authority — manually or by any automation you have authorized, configured, subscribed to, or copied from another user.

This liability waiver is enforceable under California law per Civil Code §1668 for losses arising from ordinary negligence in the operation of an at-arm’s-length commercial software service. It does not purport to waive liability for fraud, willful injury, or violations of statute. To the extent a court finds any portion of this waiver unenforceable, the remainder remains in full force.

11.2 Aggregate cap on remaining liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Lucid Entities LLC's total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of:

  • The total amount you paid Lucid Entities LLC in the 12 months preceding the claim, OR
  • One hundred US dollars ($100.00)

LUCID LLC SHALL NOT BE LIABLE FOR indirect, incidental, special, consequential, punitive, or exemplary damages; lost profits, trading losses, missed trading opportunities, or evaluation/funded account failures; acts of brokers, prop firms, data providers, or payment processors; force majeure events including internet outages, power loss, or acts of government.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Lucid Entities LLC has been advised of the possibility of such damages.

The exclusions and limitations in Sections 11.1 and 11.2 are essential elements of the bargain between you and Lucid Entities LLC. Without these provisions, Lucid would not be able to offer the Service at its current price or at all. By using the Service, you accept these terms as a condition of access.

11.3 User-Uploaded Indicators & Custom Code

The Service allows you to upload custom indicator code (Pine Script, Python, JavaScript, or other formats) to use in your own trading workflow and, if you choose, share with the Lucid Terminal community. By uploading any indicator, script, bot, or other code (collectively, "User Content"), you represent and warrant that:

  • Ownership or license. You either created the User Content yourself or have a valid, legally sufficient license to upload it to Lucid Terminal, share it with other users (if you mark it public), and grant Lucid the limited rights described in Section 11.3(b) below.
  • No infringement. The User Content does not infringe any third party's copyright, trademark, trade secret, patent, right of publicity, or other intellectual-property right.
  • No malicious code. The User Content does not contain malware, ransomware, code that attempts to escape its execution sandbox, code that exfiltrates other users' data, or any other security compromise.
  • No illegal trading logic. The User Content does not implement market manipulation, wash trading, spoofing, layering, front-running, or any other illegal trading technique.

11.3(b) License grant. By uploading User Content, you grant Lucid Entities LLC a worldwide, non-exclusive, royalty-free license to (i) host the code on our infrastructure, (ii) execute it in our sandboxed runtime to compute indicator readings on your trade data and (if you mark public) other users' trade data, (iii) include anonymized aggregate readings produced by the indicator in the Lucid data pool, (iv) display the indicator's name, description, and metadata to other users (if marked public), and (v) make backups for operational purposes. You retain ownership. This license terminates when you delete the indicator (subject to the backup-retention period in our Privacy Policy).

11.3(c) Lucid's right to remove. Lucid reserves the right to remove, disable, or refuse to execute any User Content at our sole discretion, including but not limited to: code that fails security review, triggers a DMCA takedown (Section 11.4), violates these Terms, crashes our infrastructure, or generates excessive resource consumption. We are not obligated to host any specific upload.

11.3(d) No warranty on User Content from others. Indicators uploaded by other Lucid users are provided "as is." Lucid does not endorse, vet for accuracy, or guarantee the trading results of any User Content created by anyone other than Lucid itself. If you subscribe to or use a public indicator from another user, you alone bear the risk of its outputs and any trades you place based on them.

11.4 DMCA Notice & Takedown

Lucid Entities LLC complies with the Digital Millennium Copyright Act (17 U.S.C. §512) and provides a process for copyright holders to request removal of allegedly-infringing User Content.

11.4(a) DMCA notice. If you believe content uploaded to Lucid Terminal infringes your copyright, send a written notice to dmca@lucidterminal.io with the information required by 17 U.S.C. §512(c)(3): a physical or electronic signature of the copyright owner or authorized agent; identification of the copyrighted work; identification of the allegedly-infringing material with enough specificity to locate it; your contact information; a good-faith statement that the use is not authorized; and a statement under penalty of perjury that the notice is accurate and you are authorized to act on behalf of the owner.

On receipt of a valid DMCA notice, we will remove or disable access to the allegedly-infringing material and notify the uploader. The uploader may submit a counter-notice as provided by §512(g).

11.4(b) Repeat-infringer policy. Lucid maintains a policy of terminating accounts of users subject to repeated DMCA takedowns. Three valid DMCA strikes within any 12-month period will result in account termination and a permanent ban from re-registering with the same email or payment instrument.

11.4(c) Designated agent. Lucid Entities LLC's designated DMCA agent for receiving notices is: Lucid Entities LLC, c/o DMCA Agent · California, USA · dmca@lucidterminal.io. Misrepresenting that material is infringing may make you liable for damages under §512(f).

12. Indemnification

You agree to indemnify, defend, and hold harmless Lucid Entities LLC, its members, officers, contractors, and affiliates from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your trading activities on any connected brokerage or prop firm account
  • Your violation of these Terms or any applicable law
  • Your violation of any prop firm's rules (including but not limited to automation bans on restricted firms)
  • Any claim by a third party (including a prop firm) arising out of trades you executed through or alongside the Service

13. Termination

(a) By you. You may stop using the Service at any time. To delete your contributed trade data, use the in-app deletion request (Settings → Privacy & Data → Delete my data). To delete your account and all personal data, email privacy@lucidterminal.io.

(b) By us. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or another user's rights. We may terminate inactive free-tier accounts (no login for 365+ days) at our discretion.

Sections that by their nature should survive termination (Data pool, Intellectual property, Disclaimers, Limitation of liability, Indemnification, Governing law, Dispute resolution) survive termination.

14. Changes to these Terms

We may update these Terms periodically. Material changes (new prohibited uses, changes to liability limits, new dispute resolution rules) will trigger an in-app banner and an email with at least 30 days' notice. Non-material changes (typo fixes, clarifications) take effect immediately.

Your continued use of the Service after a change takes effect means you accept the revised Terms. If you don't accept a change, stop using the Service before the effective date.

15. Governing law + dispute resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules.

Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be held in San Francisco County, California, or via video conference at the arbitrator's discretion. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver. You and Lucid Entities LLC agree that any arbitration shall be conducted on an individual basis only. You waive the right to participate in any class, collective, or representative action.

Exceptions. Either party may bring an individual claim in small-claims court in San Francisco County for disputes within the small-claims court's jurisdiction. Either party may seek injunctive relief for misappropriation of intellectual property.

16. Miscellaneous

  • Entire agreement. These Terms (plus the Privacy Policy and any in-app consent versions you've accepted) are the entire agreement between you and Lucid Entities LLC regarding the Service.
  • Severability. If any part of these Terms is found unenforceable, the remainder continues in effect.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms; we may assign them to a successor in a merger, acquisition, or sale of assets.
  • Headings. Headings are for convenience only and do not affect interpretation.

You may not use any part of it for commercial purposes (for example, to resell, redistribute or republish it) without first getting the necessary licence from us and from the relevant data or chart provider. You may not use the website or the app in any way that breaks applicable law.

Where a source requires written permission or a paid display licence before we may show it to all users, the widget shows “permission pending” or “coming soon” until that is in place.
